Robert Yalden is a partner in Osler, Hoskin & Harcourt LLP's Business Law Department, where he serves as a member of the firm's Corporate Governance Group and is Co-Chair of Osler's Mergers and Acquisitions Group. Prior to joining the firm's Montréal office when it opened in 2001, Mr. Yalden was based in the firm's Toronto office. His areas of specialty include corporate governance, mergers and acquisitions and corporate finance. Mr. Yalden is ranked as one of Canada's leading business lawyers in Chambers Global: The World's Leading Lawyers for Business 2006 and in The Best Lawyers in Canada 2006.

Throughout his career, Mr. Yalden has provided advice on corporate governance issues to a wide range of Canadian for profit and not for profit organizations. This has included advice with respect to ways in which to ensure that they are conducting their affairs in accordance with best practices, as well as providing more discreetly focused legal advice relating to specific governance issues. Most recently, he has acted for Alcan Inc., BCE Inc., EnCana Inc. and Power Corporation on issues relating to corporate governance practices associated with the advent of civil liability for deficient continuous disclosure. He also collaborated with Peter Dey in providing advice to the Royal Mint of Canada in late 2005 on governance issues associated with its executive compensation practices.

Mr. Yalden has taught courses on comparative corporate governance at McGill University's Faculty of Law since the early 1990s, has lectured on corporate governance issues to corporate directors and has authored articles on issues relating to corporate governance. Mr. Yalden is a member of the Editorial Board of Corporate Governance in Canada: A Guide to the Responsibilities of Corporate Directors in Canada (2005).

A member of the bars of Ontario and Québec, Mr. Yalden holds law degrees from Oxford University, the University of Toronto and l'Université de Montréal. Mr. Yalden served as a law clerk with the Supreme Court of Canada. He is a member of the Faculty of Law Advisory Board of McGill University, has taught business law at the University of Toronto Law School and sits as a member of Council of the University of Toronto Law School's Alumni Association. Mr. Yalden also sits on the board of directors of several for profit and charitable organizations, including JP Morgan Bank Canada and the International Centre for Human Rights Education.
